Terms of Service

1. Agreement

These Terms of Service govern your access to and use of Otterflow. Otterflow is maintained by Otterflow Team and includes the Otterflow website, desktop app, web services, AI writing tools, document workflows, citation tools, template tools, and related services.

By accessing or using Otterflow, you agree to these Terms. If you use Otterflow on behalf of an organization, you represent that you have authority to bind that organization.

You must be at least 18 years old, or the age of majority in your location, to use Otterflow.

You may not use Otterflow if applicable law prohibits you from using the service, or if you are subject to sanctions, export-control restrictions, or other legal restrictions that prevent us from providing the service to you.

2. Product Description

Otterflow provides AI-assisted research writing and document workflow tools, including manuscript drafting, editing, rewriting, summarization, citation support, template assistance, document conversion, local or remote compilation, and collaboration features.

Otterflow is a tool to support research and writing. It does not guarantee factual accuracy, academic correctness, citation correctness, venue acceptance, legal compliance, or publication outcomes.

Some features may be beta, preview, experimental, or newly released. These features may be changed, limited, suspended, or removed at any time and may be subject to additional terms or usage limits.

3. Current Free Stage

Otterflow is currently offered in a free stage. During this stage, features may be experimental, limited, changed, suspended, or removed.

Free access does not guarantee continued availability, future pricing, permanent feature access, service-level commitments, or data retention beyond the practices described in our Privacy Policy.

4. Account Registration and Security

You may need an account to use some features. You agree to provide accurate information, keep your credentials secure, and promptly notify us of unauthorized access.

You are responsible for activity under your account. You may not sell, transfer, share, or sublicense your account without our permission.

5. User Content and Ownership

You retain ownership of manuscripts, files, prompts, notes, references, figures, tables, comments, and other content you upload, create, or process through Otterflow.

You grant Otterflow a limited, non-exclusive, worldwide license to host, store, transmit, reproduce, process, transform, display, and create technical derivatives of User Content only as needed to provide, maintain, secure, and improve the service.

You represent that you have the rights and permissions needed to upload and process User Content through Otterflow.

This license ends when your User Content is deleted or your account is deleted, except for limited retention described in our Privacy Policy, backup copies, legal or security records, de-identified or aggregated data, and content already processed by third-party providers according to their own retention practices.

Where available, you may request export or deletion of User Content through product controls or by contacting support@otterflow.ai. We may need to verify your identity before fulfilling a request.

6. AI Outputs and Author Responsibility

Otterflow may use AI systems to generate, transform, summarize, cite, classify, or revise content. AI outputs may be incomplete, inaccurate, misleading, outdated, or unsuitable for your intended purpose.

AI outputs are generated probabilistically and may contain fabricated or "hallucinated" content. Otterflow does not provide medical, legal, financial, psychological, or other professional advice.

Before relying on any output for academic, medical, legal, financial, professional, safety-related, or other important decisions, you are responsible for independently verifying the information and, where appropriate, consulting a qualified professional.

Subject to your compliance with these Terms and applicable law, you may use outputs generated from your inputs and User Content for your own research, writing, and document workflows. Similar or identical outputs may be generated for other users, and Otterflow does not guarantee that any output is unique to you.

You are solely responsible for reviewing outputs before using them in manuscripts, papers, theses, grant applications, rebuttals, reports, assignments, submissions, or publications.

You are responsible for verifying facts, citations, quotations, calculations, figures, tables, formatting, template requirements, authorship, originality, and compliance with academic integrity rules.

If your input includes third-party materials, your rights in the output may still be limited by the rights of the original third-party content owner. Otterflow does not grant rights to third-party materials you do not own or have permission to use.

7. Academic Integrity and Third-Party Materials

Otterflow is designed to support research and writing, not to replace your own judgment, scholarship, authorship, or institutional responsibilities.

You are responsible for following the AI-use, authorship, citation, exam, submission, confidentiality, and research-integrity policies that apply to you, including policies from your school, employer, publisher, journal, conference, funder, or collaborator.

You may not use Otterflow to submit AI-generated work as your own where that would violate applicable rules, fabricate research records, hide AI assistance where disclosure is required, or bypass assessment, peer-review, authorship, or publication rules.

If you upload PDFs, datasets, manuscripts, reviewer comments, grant materials, templates, classroom materials, journal files, third-party articles, copyrighted works, confidential documents, or other third-party content, you are responsible for ensuring that you have the rights, permissions, and consents needed to use them with Otterflow.

8. Acceptable Use

You may not use Otterflow to:

  • violate law, regulation, sanctions, export controls, or third-party rights;
  • infringe copyright, trademark, privacy, publicity, or intellectual property rights;
  • fabricate citations, data, authorship, peer review, or academic credentials;
  • submit deceptive, fraudulent, or intentionally misleading academic or professional material;
  • bypass usage limits, access controls, security measures, or payment controls;
  • scrape, reverse engineer, copy, or extract source code, models, prompts, or non-public systems;
  • use automated tools, bots, scrapers, or headless browsers to access the service without written permission;
  • resell, sublicense, rent, or commercially exploit access to Otterflow without written permission;
  • upload malware, exploit code, or harmful content;
  • harass, abuse, threaten, or harm others;
  • generate content that impersonates real people without permission, sexualizes minors, promotes self-harm, provides instructions for weapons or serious harm, or intentionally deceives others on matters of public concern;
  • use AI outputs as a substitute for licensed medical, legal, financial, psychological, or other professional advice;
  • use Otterflow to train or build a competing service without written permission.

We may suspend or terminate access if we reasonably believe these Terms are violated.

9. Privacy

Your use of Otterflow is governed by our Privacy Policy, which explains how we collect, use, and share information.

10. Plans, Billing, and Stripe

Otterflow is currently free and does not charge users through the public website.

If paid plans are introduced, pricing, included features, usage limits, billing intervals, renewal terms, taxes, and payment methods will be shown before purchase and at checkout.

Web payments are expected to be processed by Stripe or another payment processor. By purchasing through a payment processor, you authorize that processor to charge the payment method you provide according to the plan terms shown at checkout.

11. Subscriptions and Renewal

If subscription plans are introduced, subscriptions may renew automatically unless canceled before the renewal date.

You will be able to cancel according to the instructions shown in the product, checkout flow, account settings, Stripe customer portal if provided, or these Terms.

Cancellation will stop future renewal charges but generally will not automatically delete your account or User Content.

12. Digital Service Delivery

Otterflow provides digital services. We do not sell physical goods, and no physical shipping, delivery carrier, or return shipping process applies.

If paid plans are introduced, purchased access will generally be delivered electronically through your Otterflow account, the web app, the desktop app, or instructions shown after checkout. Some features may require account login, network connectivity, system permissions, third-party service availability, or manual review before they can be used.

If you complete payment but cannot access a paid feature you purchased, contact support@otterflow.ai with your account email, purchase time, and receipt information.

13. Taxes

Prices may exclude applicable taxes unless stated otherwise. You are responsible for applicable taxes, duties, and governmental charges. A payment processor may calculate and collect taxes at checkout where required.

14. Price Changes

If paid plans are introduced, Otterflow may change prices or plan features. For active paid subscriptions, we will provide reasonable notice before a material price increase applies to a renewal, unless a different process is required by law or payment platform rules.

15. Refunds, Cancellation, and Billing Disputes

Otterflow is currently free and does not charge users through the public website. Because there are currently no paid web subscriptions, there are currently no subscription fees to refund or cancel.

If paid web subscriptions are introduced, plan names, prices, billing intervals, renewal terms, usage limits, trial terms, and payment methods will be shown before purchase.

Unless stated otherwise at checkout, paid subscriptions will renew automatically at the end of each billing period until canceled. You may cancel a subscription through the available billing or account settings page, a Stripe customer portal link if provided, or by contacting support@otterflow.ai with your account email and purchase details.

Cancellation stops future renewal charges. Unless stated otherwise, cancellation does not automatically delete your account or User Content. If you cancel a paid subscription, you will generally keep access to paid features until the end of the current paid billing period. After that period, your account may move to a free plan or limited-access mode.

For a first paid web subscription purchased through Otterflow's website, you may request a refund within 7 days of the purchase date if the subscription has not been materially used. "Materially used" may include heavy AI usage, large file processing, extensive collaboration activity, large exports, or other substantial use of paid entitlements.

After 7 days, or after material usage, subscription fees are generally non-refundable except where required by law or expressly approved by Otterflow.

If we approve a refund, we will generally submit it to the payment processor within 5 business days. The time for funds to appear in your account depends on the payment method, payment processor, and issuing bank.

If you believe you were charged twice, charged incorrectly, or charged after cancellation, contact support@otterflow.ai with your account email, invoice or receipt number, charge date and amount, and a short description of the issue. We will review reasonable billing-error claims and issue corrections where appropriate.

If a renewal payment fails after paid subscriptions are introduced, we may notify you and retry the payment. If payment remains unsuccessful, paid access may be suspended, downgraded, or canceled.

Short service interruptions, maintenance, model provider failures, or temporary feature degradation do not automatically create a refund right. If Otterflow permanently discontinues a paid service during a prepaid subscription period, we will provide any refund required by law and may provide a prorated refund or credit at our discretion.

Please contact us before filing a payment dispute or chargeback. If a chargeback or payment dispute is filed, we may provide records to the payment processor, card network, bank, or other relevant party, including account status, purchase records, usage records, cancellation records, support messages, and policy references.

Nothing in these Terms limits mandatory consumer rights that cannot be waived under applicable law.

16. Third-Party Services

Otterflow may integrate with or rely on third-party services, including AI providers, payment processors, cloud infrastructure providers, document-processing or compilation providers, and communications or support providers.

Third-party services are governed by their own terms and privacy policies. Otterflow is not responsible for third-party services except as required by law.

17. Intellectual Property

Otterflow and its software, design, trademarks, logos, documentation, and non-user content are owned by Otterflow Team or its licensors.

These Terms do not grant you ownership of Otterflow intellectual property. You may not use Otterflow branding without permission except as allowed by law.

18. Copyright Complaints

We respect intellectual property rights. If you believe content available through Otterflow infringes your copyright or other intellectual property rights, contact support@otterflow.ai with enough information for us to identify the content and evaluate the claim.

We may remove or restrict access to allegedly infringing content and may suspend or terminate accounts that repeatedly infringe intellectual property rights.

19. Feedback

If you send ideas, suggestions, or feedback, you allow us to use them without restriction or compensation.

20. Service Changes and Availability

Otterflow may modify, suspend, or discontinue features or the service. We will try to provide reasonable notice for material discontinuations when practical.

If paid plans are later introduced and we discontinue a paid service before the end of a prepaid term, we will provide any refund required by applicable law or Section 15 of these Terms.

21. Termination

You may stop using Otterflow at any time. You may request account deletion by contacting support or using available account controls.

We may suspend or terminate access if you violate these Terms, create risk for Otterflow or others, misuse the service, fail to pay amounts due after paid billing is introduced, or if required by law.

After termination, your right to use Otterflow ends. Provisions that by their nature should survive termination will continue to apply, including sections on User Content, AI outputs, acceptable use, intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution, and any payment obligations incurred before termination.

22. Disclaimers

Otterflow is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

We do not guarantee that AI outputs are correct, that citations are valid, that documents compile correctly in every environment, or that a manuscript will satisfy a venue's requirements.

23. Limitation of Liability

To the maximum extent permitted by law, Otterflow and Otterflow Team will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or publication/submission outcomes.

To the maximum extent permitted by law, the total cumulative liability of Otterflow and Otterflow Team for claims arising from or related to the service will not exceed the amount you actually paid to Otterflow for the relevant service giving rise to the claim in the 12 months before the claim. For free use or services for which no payment was made, our cumulative liability will not exceed USD 100. Nothing in this section limits liability that cannot be limited under applicable law.

24. Indemnity

You agree to defend, indemnify, and hold harmless Otterflow and Otterflow Team from claims arising from your User Content, your use of the service, your violation of these Terms, or your violation of law or third-party rights.

25. Governing Law and Dispute Resolution

To the extent permitted by law, these Terms are interpreted and enforced under the laws applicable to the operator of Otterflow, without regard to conflict-of-law rules. If mandatory consumer protection laws, privacy laws, or other mandatory laws in your location require a different rule, those mandatory rules will apply.

If an issue arises between you and Otterflow, please contact us first at support@otterflow.ai. We will make reasonable efforts to resolve the issue informally within 30 days, including issues related to accounts, billing, cancellation, refunds, or use of the service.

If a dispute cannot be resolved informally, it will be handled by a court of competent jurisdiction or another dispute-resolution body required by applicable law. Nothing in these Terms limits your right to file a complaint with a regulator, raise a reasonable billing dispute through a payment provider or card network, or exercise any non-waivable consumer rights.

26. International Users and Local Rights

Otterflow may be operated from and supported by providers located in different countries. Your local laws may provide rights that cannot be waived by these Terms, including consumer, privacy, data protection, cancellation, withdrawal, or refund rights. Nothing in these Terms limits rights that cannot be limited under applicable law.

27. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice through the website, product, email, or another reasonable method.

Continued use after changes take effect means you accept the updated Terms.

28. Miscellaneous

These Terms, together with the Privacy Policy and any terms shown at checkout or in the product for specific features, form the agreement between you and Otterflow for the service.

If any part of these Terms is found unenforceable, the remaining parts will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, asset sale, or similar transaction.

We are not responsible for delays or failures caused by events outside our reasonable control. We may provide notices by email, in-product message, website notice, or other reasonable method. Section headings are for convenience only.

If these Terms are translated into another language, the English version controls unless applicable law requires otherwise.
